These Terms and Conditions govern your access to and use of Complion's AI-powered food label compliance platform. By using our services, you agree to these terms. Please read them carefully before proceeding.
Welcome to Complion
Welcome to Complion! Complion provides an AI-powered platform that helps food brands, compliance teams, and designers validate food labels, detect regulatory issues, and generate compliant label content grounded in real food safety regulations. By accessing or using Complion, you agree to be bound by these Terms and Conditions.
If you are accepting these terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these terms. If you have any questions, you can reach us at sha@complion.ai.
Acceptance of Terms
By accessing or using the Complion platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy. If you do not agree with any part of these terms, you must not use our services.
We reserve the right to update or modify these terms at any time. Material changes will be communicated via email or a prominent notice on our platform. Your continued use of Complion after any such changes constitutes your acceptance of the revised terms.
Effective Date
These Terms and Conditions are effective as of 1 March 2026 and apply to all users of the Complion platform, including free trial users, subscribers, and API integrators.
Account Registration
To access Complion's features, you must create an account and provide accurate, current, and complete information. You agree to keep your account information up to date at all times. Accounts registered with false or misleading information may be suspended or terminated.
You must be at least 18 years of age and authorised to enter into legally binding contracts in your jurisdiction to create an account. By registering, you confirm that these conditions are met.
Account Security
You are solely responsible for safeguarding your login credentials and for all activity that occurs under your account. You agree to notify Complion immediately at sha@complion.ai if you become aware of any unauthorised use or security breach involving your account.
Complion will not be liable for any loss or damage arising from your failure to protect your account credentials. We recommend enabling two-factor authentication and using a strong, unique password.
Permitted Use
You may use Complion solely for lawful purposes and in accordance with these Terms. You agree not to use the platform to upload, process, or distribute content that is fraudulent, misleading, harmful, or in violation of any applicable law or regulation, including food labelling laws in your jurisdiction.
You are responsible for ensuring that any label content generated or validated through Complion complies with all applicable regulations before use in commerce. Complion's AI-generated compliance assessments are informational in nature and do not constitute legal or regulatory advice.
Complion's Intellectual Property
All content, software, algorithms, models, designs, trademarks, and other materials comprising or made available through the Complion platform are and remain the exclusive property of Complion AI Ltd or its licensors. Nothing in these Terms grants you any ownership or licence in Complion's intellectual property beyond the limited right to use the platform as described herein.
Your Content
You retain ownership of all label files, images, and data you upload to Complion ("Your Content"). By uploading Your Content, you grant Complion a limited, non-exclusive, royalty-free licence to process and analyse it solely for the purpose of providing the services to you. We do not claim ownership of Your Content.
You represent and warrant that you have all necessary rights to upload Your Content and that doing so does not infringe any third-party intellectual property rights, privacy rights, or applicable laws.
AI-Generated Output
Label content and compliance assessments generated by Complion's AI are provided for your use subject to these Terms. You are responsible for reviewing, validating, and obtaining any necessary approvals for AI-generated content before it is used commercially. Complion makes no representation that AI-generated output is error-free or definitively compliant with all applicable regulations.
Subscription Plans
Complion offers various subscription tiers with differing feature sets and usage allowances. Details of current plans, pricing, and included features are available on our Pricing page. All prices are exclusive of applicable taxes unless stated otherwise.
Billing and Renewal
Subscription fees are billed in advance on a monthly or annual basis depending on the plan selected. Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. You authorise Complion to charge your payment method on file for all applicable fees.
Complion reserves the right to modify pricing with reasonable advance notice. If you do not agree to a price change, you may cancel your subscription before the next renewal date.
Cancellations and Refunds
You may cancel your subscription at any time through your account settings or by contacting sha@complion.ai. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods except where required by applicable consumer protection law.
No Regulatory or Legal Advice
Complion is a technology tool designed to assist with food label compliance workflows. The platform does not provide legal, regulatory, or professional advice. All AI-generated compliance assessments should be reviewed by a qualified regulatory professional before being relied upon for commercial purposes.
Complion does not guarantee that use of its platform will result in label approvals, regulatory compliance, or the absence of enforcement actions from any governmental authority. Regulatory requirements vary by jurisdiction and are subject to change.
Service Availability
Complion is provided on an "as is" and "as available" basis. We do not warrant that the platform will be uninterrupted, error-free, or secure at all times. We may temporarily suspend access for maintenance, updates, or reasons beyond our reasonable control. We will endeavour to provide advance notice where possible.
Limitation of Liability
To the maximum extent permitted by applicable law, Complion AI Ltd and its officers, directors, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business interruption — arising out of or related to your use of the platform, regardless of whether such damages were foreseeable.
In no event shall our aggregate liability to you exceed the total fees paid by you to Complion in the twelve (12) months immediately preceding the event giving rise to the claim. Some jurisdictions do not permit certain liability exclusions; in such cases, liability is limited to the greatest extent allowed by law.
Indemnification
You agree to indemnify and hold harmless Complion AI Ltd and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms, your use of the platform, or your infringement of any third-party rights.
Termination
Complion reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, Complion, third parties, or the integrity of the platform. Upon termination, your right to use the platform will immediately cease.
You may terminate your account at any time by contacting sha@complion.ai. Provisions of these Terms that by their nature should survive termination (including intellectual property rights, disclaimer, and limitation of liability) shall survive.
Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the Province of Ontario, Canada. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
